LOCUS Mindset, us, we: the creator, operator, and publisher of the site, and any and all content, courses, products, and/or services.

You, the user, the participant: You, as the user and/or participant of the website, and any of its products, services, courses and the like will be referred to throughout this Agreement with second-person pronouns such as you, your, yours, or as user or participant.

Parties: Collectively, the parties to this Agreement (LOCUS Mindset and You) will be referred to as Parties.

Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

Account means a unique account created for You to access our Service or parts of our Service.

Company (referred to as either “LOCUS Mindset”, “We”, “Us” or “Our” in this Agreement) refers to Locus Mindset. LLC.

Country refers to: Michigan, United States

Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.

Goods refer to the items offered for sale on the Service.

Orders mean a request by You to purchase Goods from Us.

Promotions refer to contests, sweepstakes or other promotions offered through the Service.

Service refers to the Website.

Subscriptions refer to the services or access to the Service offered on a subscription basis by LOCUS Mindset to You.

Free Trial refers to a limited period of time that may be free when purchasing a Subscription.

Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and LOCUS Mindset regarding the use of the Service.

Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

Website refers to Locus Mindset, accessible from www.locusmindset.com

You means the individual accessing or using the Service, or LOCUS Mindset, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Use of Site and Acceptance/ Acknowledgment of Full Responsibility.

This website and all of its content, courses, modules, and information is owned and operated by Locus Mindset, LLC, a limited liability company, incorporated under the laws of the state of Michigan (hereinafter referred to as “LOCUS Mindset”)

This Terms of Use agreement which includes our Earnings Disclaimer and our Privacy Policy covers all access and use of www.locusmindset.com. This would include but is not limited to course content, functions, products, services, and the like that are accessible or offered via LOCUS Mindset’s website regardless of whether or not it is accessed as a guest user or as a registered user.

Use of and access to www.locusmindset.com website and its related pages constitutes agreement and acceptance of LOCUS Mindset’s Terms of Use and Privacy Policy. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

Additionally, LOCUS Mindset may offer products, services and courses via its mail provider service, such as ConvertKit or the like, and any such landing pages of those sites will be considered created by LOCUS Mindset and subject to the terms of this agreement. Should you wish not to agree and be bound to these policies, then you should not use or access the site.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of LOCUS Mindset. Our Privacy Policy describes our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

Use and/or access of this site is your assent and acceptance for personal responsibility for the results of your actions, and you agree to be held accountable for any and all damages that are incurred because of your use of LOCUS Mindset’s site and/or its content. While the site and the online courses may provide educational information you can learn from, you agree that you will be fully, personally, and professionally liable for any action you take. The LOCUS Mindset is not responsible for any actions or decisions that you take, even if you did this after you accessed the site.

Assent and Acceptance of Courses, Products, Services purchased.

By purchasing and participating in any course, product, service or the like of LOCUS Mindset, you warrant that you have read and reviewed this Agreement and that you agree to be bound by it. If you do not agree to be bound by this Agreement, please cease your participation in the Course immediately. If you fail to do so prior to your making a purchase, you will not be entitled to any refund.

For any and all courses sold by LOCUS Mindset, all parts and sub-parts of this Agreement are specifically incorporated by reference here. This Agreement shall govern the use of all pages and screens in and on the course (all collectively referred to as “course”) and any services provided by or through the course (“services”) and/or on LOCUS Mindset’s website (“Website”).

Disclaimer for Information on Site.

All information available on this site is for educational and informational purposes only. In no way or under no circumstances should it be construed or taken to be professional or technical advice, counsel or guidance, and it is not a substitute for such advice or professional guidance. LOCUS Mindset makes no guarantees or warranties about any results you may or may not achieve about taking any action, regardless of whether LOCUS Mindset recommended such action on its website or not.

LOCUS Mindset is not making specific, focused, detailed or general income, money, wealth or revenue claims. It does not claim to guarantee or represent that you will obtain or realize any particular result from your use of the site, or your use and application of any information provided on the site or within the LOCUS Mindset’s courses.

Any testimonials or results that individuals may or may not obtain from accessing or using LOCUS Mindset’s site are NOT meant to be taken as any type of representation or guarantee that YOU will see a similar outcome. There are no guarantees that you will see any results from your use or access of the LOCUS Mindset’s site or any of its courses and or products or services. There is no guarantee of any return on any investment or cost, and you acknowledge that you are 100% solely responsible for the results you see or don’t see as a result of using or accessing the LOCUS Mindset’s site and or course materials.

License to use website and access any course, product, service materials.

We may provide you with certain information as a result of your accessing a course, product or service through LOCUS Mindset’s website. Such information may include, but is not limited to, documentation, data, or information developed by us and other materials which may assist in your participation in the product, course, or service (“Materials”). Subject to this Agreement, we grant you a non-exclusive, limited, non-transferable and revocable license to use the Materials solely in connection with your participation in and your use of the Website. The Materials may not be used for any other purpose, and this license terminates upon your completion of the Course, your cessation of use of the Course or the Website, or at the termination of this Agreement. WE MAKE NO REPRESENTATIONS OR GUARANTEES THAT THIS INFORMATION WOULD BE FREE TO USE OR NOT SUBJECT TO OTHER COPYRIGHTS, LICENSES OR TERMS. USE OF THIS INFORMATION IS AT YOUR OWN RISK.

Information, photos, graphics, logos, pictures and any original works of expression or authorship are the property of the LOCUS Mindset. Any use, copy, display or reproduction (whether whole or in part), or modification of these may constitute a violation of federal copyright law and LOCUS MINDSET WILL STRICTLY AND IMMEDIATELY ENFORCE ITS RIGHTS AT LAW.

Course Terms.

Most courses offered through LOCUS Mindset do not have a structured start date, which means you may begin it at any time. LOCUS Mindset’s courses and any of its accompanying Materials shall not be shared with any party. If we suspect that access to the course and/or materials are being shared and/or that you have shared your log-in information with any party, we reserve the right to immediately terminate your access in our sole and exclusive discretion.

We do not offer any promises or guarantees with regard to our products, services, or courses or course materials. You hereby acknowledge and agree:

A) You are solely and exclusively responsible for the choices that you make with regard to a course, product or service and the Materials contained within it, or any significant changes to your business or life;

B) You are solely and exclusively responsible for your own mental health, physical health, business decisions, and any other actions or inaction you choose to take;

C) We are not liable for any result or non-result or any consequences which may come about due to your participation in LOCUS Mindset, any of its courses, products or services;

D) No product, service, course or the like constitutes a therapeutic relationship or a medical one. We do not provide therapy or medical services and you are responsible for procuring these services at your own will and discretion if needed.

Your Obligations when you have purchased a course, product or service.

As a participant in many of LOCUS Mindset’s courses, products, or services, you will be asked to register with us. When you do so, you will choose a user identifier, which may be your email address or another term, as well as a password. You may also provide personal information, including, but not limited to, your name.

You are responsible for ensuring the accuracy of this information. This identifying information will enable you to participate in the course, product or service. You must not share such identifying information with any third party, and if you discover that your identifying information has been compromised, you agree to notify us immediately in writing. Email notification will suffice. You are responsible for maintaining the safety and security of your identifying information as well as keeping us apprised of any changes to your identifying information.

The billing information you provide us, including credit card, billing address and other payment information, is subject to the same confidentiality and accuracy requirements as the rest of your identifying information. Providing false or inaccurate information, or using any of LOCUS Mindset’s courses, products, services or website to further fraud or unlawful activity is grounds for immediate termination of this Agreement.

Course and other LOCUS Mindset Intellectual Property.

You agree that all materials, courses, products and services provided by LOCUS mindset are the property of LOCUS Mindset, including all copyrights, trademarks, trade secrets, patents, and other intellectual property (“Company IP”). You agree that LOCUS Mindset owns all right, title and interest in and to LOCUS Mindset IP and that you will not use LOCUS Mindset IP for any unlawful or infringing purpose. You agree not to reproduce or distribute LOCUS Mindset IP in any way, including electronically or via registration of any new trademarks, trade names, service marks or Uniform Resource Locators (URLs), without express written permission from LOCUS Mindset.

Possible Errors.

From time to time there may be errors on LOCUS Mindset’s site, despite reasonable efforts made to keep information accurate and up-to-date by the LOCUS Mindset. You agree you will not rely on any of the information on this site, expressly, implied or detrimentally. You acknowledge this and agree that information on the LOCUS Mindset’s website and/or contained within any of its courses, products or services may contain errors or omissions, and that it is your responsibility to exercise care and diligence in verifying accuracy.

Acknowledgement that Reviews and Testimonials DO NOT Constitute Endorsement or Any Guarantee.

Should LOCUS Mindset provide any reviews or photos of products, services, resources, materials, references, individuals, or the like, these are purely informational and simply the opinion (not the endorsement) of the person writing the review. This review shall not be construed to be advice that you need to purchase the product, service, resource, material, or advice of any individual, and you acknowledge that you are not relying on any information from these reviews to make any decisions. You are solely responsible for all decisions you make and the results. Under no circumstances shall any review by LOCUS Mindset of another company’s products, services, resources, or the like be taken as or construed as an endorsement. LOCUS Mindset may receive an affiliate commission or percentage for products with which it has an affiliate agreement.

Actual and authentic testimonials, results or case studies, given by real clients, may appear on LOCUS Mindset’s site. These are truthful however the results obtained may not be typical and you should not rely on these as any type of indication that you or anyone else using LOCUS Mindset’s site and or resources/courses and the like will see a similar result. THERE IS NO GUARANTEE MADE OF ANY SPECIFIC RESULT AND YOU MAY SEE NONE AT ALL.

Liability.

If, occasionally, LOCUS Mindset shares any information on the success or results that one of its clients (prior or current) realized by using LOCUS Mindset’s website and/or courses, products and services, YOU EXPRESSLY AGREE, ACKNOWLEDGE AND UNDERSTAND THAT ANY SUCCESS OR RESULTS OF THESE PRIOR OR CURRENT CLIENTS DOES NOT GUARANTEE ANY SUCCESS OR RESULTS FOR YOU OR FOR ANYONE ELSE. RESULTS VARY AND ARE BASED ON SO MANY FACTORS OUTSIDE THE LOCUS MINDSET’S CONTROL. THERE ARE NO INCOME, REVENUE, OR SUCCESS GUARANTEES.

USING ANY OF LOCUS MINDSET’S COURSES, PRODUCTS, SERVICES, AND THE LIKE MUST BE BASED ON YOUR OWN EXERCISE AND USE OF DUE DILIGENCE.

NO WARRANTIES, EXPRESS OR IMPLIED, ARE MADE REGARDING THE OPERATION, PERFORMANCE, OR RELIABILITY OF LOCUS MINDSET’S SITE. NO EXPRESS, IMPLIED OR OTHER WARRANTIES ATTACH TO ANY OF THE INFORMATION, COURSE CONTENT, REFERENCE MATERIALS, DOCUMENTS, SERVICES, AND THE LIKE INCLUDED BY OR THROUGH LOCUS MINDSET’S SITE OR ANY OF ITS PRODUCTS.

LOCUS MINDSET, TO THE FULLEST EXTENT OF THE LAW, HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED INCLUDING BUT NOT LIMITED TO WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE AND WARRANTIES OF MERCHANTABILITY.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.

Additionally, you agree that LOCUS Mindset is not liable for damages (with or without limitation) for loss of profits or use arising from or connected to the use or performance (operational or other) of LOCUS Mindset’s site, with any delay or inability to access the site or the course, product, service, or the like, whether based in contract law, tort, negligence, strict liability or other provision.

Your sole and exclusive remedy if you are not satisfied with any part of LOCUS Mindset’s website, Course, or any of its terms of use, policies, and the like, is to DISCONTINUE USE OF THE WEBSITE. Under NO circumstances would the maximum amount of liability LOCUS Mindset would owe to you under this agreement exceed $100 (one hundred US Dollars), OR the amount you paid to us within the last six months, whichever is greater. This section applies to any and all claims by you, including, but not limited to, lost profits or revenues, consequential or punitive damages, negligence, strict liability, fraud, or torts of any kind.

YOU HEREBY AGREE TO RELEASE, ABSOLVE, AND HOLD LOCUS MINDSET HARMLESS OF ANY AND ALL CLAIMS OF LIABILITY OR LOSS THAT YOU OR ANY PERSON OR ENTITY ASSOCIATED WITH YOU MAY SUFFER AS A DIRECT OR INDIRECT USE OF THE INFORMATION CONTAINED ON LOCUS MINDSET’S WEBSITE, COURSES, PRODUCTS, SERVICES AND THE LIKE.

YOU AGREE TO INDEMNIFY AND HOLD LOCUS MINDSET, ITS OFFICERS, DIRECTORS, EMPLOYEES, SUBCONTRACTORS, AFFILIATES, REPRESENTATIVES AND THE LIKE HARMLESS FROM ANY AND ALL LIABILITIES, DAMAGES, BUSINESS INTERRUPTIONS, DELAYS (FORESEEABLE OR NOT) LOSSES, CLAIMS, JUDGMENTS, OR ANY KIND WHATSOEVER, INCLUDING BUT NOT LIMITED TO INTELLECTUAL PROPERTY CLAIMS, COPYRIGHT INFRINGEMENT, INFRINGEMENT ON TITLE OR CONCEPT, AND ALL COSTS, ATTORNEYS’ FEES, AND INCIDENTAL EXPENSES, WHICH MAY BE SUFFERED.

YOU AGREE THAT LOCUS MINDSET IS NOT LIABLE TO YOU OR TO ANYONE CONNECTED OR ASSOCIATED WITH YOU FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EQUITABLE, OR CONSEQUENTIAL LOSS OR DAMAGES.

NO WARRANTIES OR REPRESENTATIONS ARE MADE REGARDING THE ACCURACY, AVAILABILITY, RELIABILITY OR THE LIKE OF ANY INFORMATION, PRODUCTS, COURSES, SERVICES, OR RELATED ITEMS. ALL COURSES, PRODUCTS, SERVICES AND THE LIKE ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY OR CONDITION.

Service Interruptions.

We may need to interrupt your access to a product, service, or course to perform maintenance or emergency services on a scheduled or unscheduled basis. You agree that your access to the website, course, product, services or the like may be affected by unanticipated or unscheduled downtime, for any reason, but that we shall have no liability for any damage or loss caused as a result of such downtime.

Term, Termination and Suspension.

We may terminate this Agreement with you at any time for any reason, with or without cause. We specifically reserve the right to terminate this Agreement if you violate any of the terms outlined herein, including, but not limited to, violating the intellectual property rights of us or a third party, failing to comply with applicable laws or other legal obligations, and/or publishing or distributing illegal material. You may also terminate this Agreement at any time by contacting us and requesting termination. At the termination of this Agreement, any provisions that would be expected to survive termination by their nature shall remain in full force and effect. PLEASE BE AWARE AND ADVISED THAT TERMINATING THIS AGREEMENT DOES NOT ENTITLE YOU TO A REFUND (WHOLE OR IN PART) OF ANY MONIES ALREADY PAID.

Reverse Engineering and Security.

You agree not to undertake any of the following actions:

Reverse engineer, or attempt to reverse engineer or disassemble any code or software from or on the LOCUS Mindset’s website, or in any product, service or course;
Violate the security of the LOCUS Mindset’s website, product, service or course through any unauthorized access, circumvention of encryption or other security tools, data mining or interference to any host, user or network.

Acceptable Use.

You agree not to use any information content, products, services, or Courses on LOCUS Mindset’s website for any unlawful purpose or any purpose prohibited under this clause. You agree not to use these in any way that could damage the website, product, course, service or the general business of the LOCUS Mindset.

You further agree not to use the Course or the Website:

To harass, abuse, or threaten others or otherwise violate any person’s legal rights;
To violate any intellectual property rights of LOCUS Mindset or any third party;
To upload or otherwise disseminate any computer viruses or other software that may damage the property of another;
To perpetrate any fraud;
To engage in or create any unlawful gambling, sweepstakes, or pyramid scheme;
To publish or distribute any obscene or defamatory material;
To publish or distribute any material that incites violence, hate, or discrimination towards any group;
To unlawfully gather information about others.

Spam Policy.

You are strictly prohibited from using any content, products, services, or courses for illegal spam activities, including gathering email addresses and personal information from others or sending any mass commercial emails.

Payment and Fees.

All Goods purchased are subject to a one-time payment unless otherwise specified in installments (eg. Ongoing mentoring or subscription). Payment can be made through various payment methods we have available, such as Stripe or Paypal.

Placing Orders for Goods.

By placing an Order for Goods through the Service, You warrant that You are legally capable of entering into binding contracts.

Your Information

If You wish to place an Order for Goods available on the Service, You may be asked to supply certain information relevant to Your Order including, without limitation, Your name, Your credit card number, the expiration date of Your credit card, Your billing address, and Your shipping information.

You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any Order; and that (ii) the information You supply to us is true, correct and complete.

By submitting such information, You grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of Your Order.

Order Cancellation

We reserve the right to refuse or cancel Your Order at any time for certain reasons including but not limited to:

Goods availability
Errors in the description or prices for Goods
Errors in Your Order

We reserve the right to refuse or cancel Your Order if fraud or an unauthorized or illegal transaction is suspected.

Your Order Cancellation Rights

Any purchase of online courses, products, downloads, PDFs, or the like cannot be returned because the contents are delivered and not returnable as goods in their original form. If you order/purchase an ongoing subscription, you have the right to cancel it at any time and you would only owe 50% of the balance on the remaining amount if paid in installments. If you paid up front for one lump sum, you have the right to cancel within 30 days of purchase. After 30 days, you may cancel and receive a 50% reimbursement.

For reimbursement, we will use the same means of payment as You used for the Order. You will not have any right to cancel an Order for the supply of any of the following Goods:

The supply of digital content which is not supplied on a tangible medium if the performance has begun with Your prior express consent and You have acknowledged Your loss of cancellation right.

Prices Policy

LOCUS Mindset reserves the right to revise its prices at any time prior to accepting an Order.

The prices quoted may be revised by LOCUS Mindset subsequent to accepting an Order in the event of any occurrence affecting delivery caused by government action, variation in customs duties, increased shipping charges, higher foreign exchange costs and any other matter beyond the control of LOCUS Mindset. In that event, You will have the right to cancel Your Order.

Data Loss.

We do not assume or accept responsibility for the security of your account or content. You agree that your participation in any product, service, course or the like of LOCUS Mindset and offered through LOCUS Mindset’s website is at your own risk.

Modification and Variation.

We may, from time to time and at any time without notice to you, modify this Agreement. You agree that we have the right to modify this Agreement or revise anything contained herein. You further agree that all modifications to this Agreement are in full force and effect immediately upon posting on the website and that modifications or variations will replace any prior version of this Agreement, unless prior versions are specifically referred to or incorporated into the latest modification or variation of this Agreement.

To the extent any part or sub-part of this Agreement is held ineffective or invalid by any court of law, you agree that the prior, effective version of this Agreement shall be considered enforceable and valid to the fullest extent.

Promotions.

Any Promotions made available through the Service may be governed by rules that are separate from these Terms. If You participate in any Promotions, please review the applicable rules as well as our Privacy policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.

General and Miscellaneous Provisions.

A) LANGUAGE: All communications made or notices given pursuant to this Agreement shall be in the English language.

B) JURISDICTION, VENUE & CHOICE OF LAW: The laws of the State of Michigan, County of Washtenaw, in the USA shall govern this Terms and Your use of the Service. Exclusive jurisdiction for any legal suit or matter will be the Courts of the State of Michigan, with venue in Washtenaw County. Your use of the Application may also be subject to other local, state, national, or international laws. Through your participation in the Course and your use of the Website, you agree that the laws of the State of Michigan, County of Washtenaw shall govern any matter or dispute relating to or arising out of this Agreement, as well as any dispute of any kind that may arise between you and us, with the exception of its conflict of law provisions. In case any litigation specifically permitted under this Agreement is initiated, the Parties agree to submit to the personal jurisdiction of the state and federal courts of the following county: Washtenaw County, Michigan. The Parties agree that this choice of law, venue, and jurisdiction provision is not permissive, but rather mandatory in nature. You hereby waive the right to any objection of venue, including assertion of the doctrine of forum non conveniens or similar doctrine.

C) ARBITRATION: In case of a dispute between the Parties relating to or arising out of this Agreement, the Parties shall first attempt to resolve the dispute personally and in good faith. If these personal resolution attempts fail, the Parties shall then submit the dispute to binding arbitration. The arbitration shall be conducted in the State of Michigan, Country of USA. The arbitration shall be conducted by a single arbitrator, and such arbitrator shall have no authority to add Parties, vary the provisions of this Agreement, award punitive damages, or certify a class. The arbitrator shall be bound by applicable and governing Federal law as well as the law of the following state: Michigan. Each Party shall pay their own costs and fees. Claims necessitating arbitration under this section include, but are not limited to: contract claims, tort claims, claims based on Federal and state law, and claims based on local laws, ordinances, statutes or regulations. Intellectual property claims by us will not be subject to arbitration and may, as an exception to this sub-part, be litigated. The Parties, in agreement with this sub-part of this Agreement, waive any rights they may have to a jury trial in regard to arbitral claims.

D) ASSIGNMENT: This Agreement, or the rights granted hereunder, may not be assigned, sold, leased or otherwise transferred in whole or part by you. Should this Agreement, or the rights granted hereunder, by assigned, sold, leased or otherwise transferred by LOCUS Mindset, the rights and liabilities of LOCUS Mindset will bind and inure to any assignees, administrators, successors, and executors.

E) SEVERABILITY: If any part or sub-part of this Agreement is held invalid or unenforceable by a court of law or competent arbitrator, the remaining parts and sub-parts will be enforced to the maximum extent possible. In such condition, the remainder of this Agreement shall continue in full force.

F) NO WAIVER: In the event that we fail to enforce any provision of this Agreement, this shall not constitute a waiver of any future enforcement of that provision or of any other provision. Waiver of any part or sub-part of this Agreement will not constitute a waiver of any other part or sub-part.

G) HEADINGS FOR CONVENIENCE ONLY: Headings of parts and sub-parts under this Agreement are for convenience and organization, only. Headings shall not affect the meaning of any provisions of this Agreement.

H) NO AGENCY, PARTNERSHIP OR JOINT VENTURE: No agency, partnership, or joint venture has been created between the Parties as a result of this Agreement. No Party has any authority to bind the other to third parties.

I) FORCE MAJEURE: We are not liable for any failure to perform due to causes beyond our reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.

K) If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting LOCUS Mindset.

Changes to service.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.

Subscriptions and Subscription period

The Service or some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (such as daily, weekly, monthly or annually), depending on the type of Subscription plan you select when purchasing the Subscription.

At the end of each period, Your Subscription will automatically renew under the exact same conditions unless You cancel it or LOCUS Mindset cancels it.

Subscription cancellations

You may cancel Your Subscription renewal either through Your Account settings page or by contacting LOCUS Mindset.

You will not receive a refund for the fees You already paid for Your current Subscription period and your refund amount will be calculated as specified above.

Billing

You shall provide LOCUS Mindset with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. Should automatic billing fail to occur for any reason, LOCUS Mindset will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

Fee Changes

LOCUS Mindset, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.

LOCUS Mindset will provide You with reasonable prior notice of any change in Subscription fees to give You an opportunity to terminate Your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes Your agreement to pay the modified Subscription fee amount.

Refunds

Except when required by law, paid Subscription fees are non-refundable.

Certain refund requests for Subscriptions may be considered by LOCUS Mindset on a case-by-case basis and granted at the sole discretion of LOCUS Mindset.

Free Trial

LOCUS Mindset may, at its sole discretion, offer a Subscription with a Free trial for a limited period of time.

You may be required to enter Your billing information in order to sign up for the Free trial.

If You do enter Your billing information when signing up for a Free Trial, You will not be charged by LOCUS Mindset until the Free trial has expired. On the last day of the Free Trial period, unless You cancelled Your Subscription, You will be automatically charged the applicable Subscription fees for the type of Subscription You have selected.

At any time and without notice, LOCUS Mindset reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free trial offer.

Your Feedback to Us.

You assign all rights, title and interest in any Feedback You provide LOCUS Mindset. If for any reason such assignment is ineffective, You agree to grant LOCUS Mindset a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.

Links to Other Websites.

Our Service may contain links to third-party web sites or services that are not owned or controlled by LOCUS Mindset. LOCUS Mindset has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites, research, resources, content, or services. You further acknowledge and agree that LOCUS Mindset shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

“As Is” and “As Available” Disclaimer.

The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, LOCUS Mindset, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, LOCUS Mindset provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither LOCUS Mindset nor any of LOCUS Mindset’s provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of LOCUS Mindset are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. Severability

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not effect a party’s ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.

Entire Agreement.

This Agreement constitutes the entire understanding between the Parties with respect to any products, services or courses offered on or available through LOCUS Mindset’s website. This Agreement supersedes and replaces all prior or contemporaneous agreements or understandings, written or oral.
